Terms of Service

The terms that govern your use of Midifex products and services.

These Terms of Service (“Terms”) govern your use of the products, software, and services provided by Midifex (“we”, “our”, “us”). By using any of our products you agree to these Terms. If you do not agree, do not use our products.

These Terms apply to all Midifex products including the Lujin MIDI controller, Plugoff plugin manager, and Midivex MIDI routing software.

1. General

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use our products or make a purchase. By using our products you represent that you meet this requirement.

We reserve the right to modify these Terms at any time. Material changes will be posted on this page. Continued use of our products after changes constitutes acceptance of the updated Terms.

2. Software Products (Plugoff & Midivex)

2.1 Licence

We grant you a non-exclusive, non-transferable, revocable licence to use our software products for personal or professional use, subject to these Terms. You may not reverse-engineer, decompile, or distribute our software.

2.2 File Operations (Plugoff)

Plugoff is designed to move, copy, and delete audio plugin files on your computer. By using Plugoff you acknowledge and accept that:

  • Plugoff will move plugin files from their installed locations to a designated vault folder, and can restore them to their original locations.
  • Plugoff may permanently delete plugin files from the vault folder when you choose the permanent delete option.
  • Plugoff requires administrator privileges to move or delete files in system-protected directories. You are responsible for authorising these operations.
  • You are solely responsible for maintaining backups of your plugin files and any other data on your system. We strongly recommend backing up your system before performing bulk offload or restore operations.
  • While Plugoff is designed to operate safely, file operations carry inherent risk. We are not liable for data loss, corrupted files, plugin incompatibilities, or any other damage resulting from the use of Plugoff.

2.3 No Refunds for Software

Software products are provided as digital downloads. Due to the nature of digital goods, all software sales are final and non-refundable. If you experience a technical issue that prevents the software from functioning, please contact us and we will work with you to resolve it.

2.4 Free Software

Software that is offered free of charge (including Plugoff during its introductory period) may be withdrawn, discontinued, or transitioned to a paid product at any time without notice. No ongoing access or updates are guaranteed for free software.

2.5 Accounts & Registration

Some software products require you to create an account. You are responsible for keeping your login credentials secure. We may suspend or terminate accounts that violate these Terms.

3. Hardware Products (Lujin)

3.1 Warranty

Every Lujin MIDI controller comes with a 12-month warranty from the date of purchase, covering manufacturing defects and component failures under normal use. This includes faders, rotary encoders, LED screens, USB connectivity, and the MIDI DIN output.

The warranty does not cover:

  • Physical damage from drops, impacts, or liquid spills
  • Unauthorised modifications or repairs
  • Normal wear and tear
  • Damage caused by use outside of the product’s intended purpose

To make a warranty claim, contact us at sales@midifex.com with your order details and a description of the issue.

3.2 Returns & Refunds

Hardware products may be returned within 30 days of delivery for a full refund, provided the item is in its original condition and packaging. The buyer is responsible for return shipping costs. Refunds will be processed to the original payment method within 10 business days of receiving the returned item.

Faulty units covered by warranty will be repaired or replaced at our discretion, with shipping covered by Midifex.

4. Disclaimer of Warranties

To the maximum extent permitted by applicable law, all products and services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our software will be error-free, uninterrupted, or free from harmful components. We do not warrant that file operations performed by our software will complete successfully in all circumstances.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Midifex and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of data, files, or plugins
  • Loss of revenue or profits
  • Loss of use of software or hardware
  • Costs of replacement goods or services
  • Damage to your computer, operating system, or audio production environment

Our total liability for any claim arising from or related to these Terms or the use of our products shall not exceed the amount you paid to us for the specific product giving rise to the claim, or NZ$100, whichever is greater.

6. Indemnification

You agree to indemnify and hold harmless Midifex from any claims, losses, or damages arising from your use of our products, your violation of these Terms, or your violation of any rights of a third party.

7. Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

Nothing in these Terms excludes or limits any consumer rights that cannot be excluded or limited under the New Zealand Consumer Guarantees Act 1993 or other applicable consumer protection legislation.
